Frequently Asked Questions — Securities

Who regulates securities and investments in Puerto Rico?

Securities activity in Puerto Rico is regulated at two levels: the federal Securities and Exchange Commission (SEC) and, locally, the Office of the Commissioner of Financial Institutions (OCIF) under the Puerto Rico Uniform Securities Act. Brokers, dealers, and investment advisers generally must be registered, and both regulators can investigate fraud and impose sanctions.

What should I do if I suspect investment fraud?

Preserve all account statements, contracts, and communications, stop making new deposits, and consult a securities attorney promptly. Depending on the case, you may file a complaint with OCIF or the SEC, pursue arbitration, or bring a civil claim. Acting quickly matters because claims are subject to filing deadlines and assets can disappear.

Can I recover losses caused by my broker or financial adviser?

Possibly. If your losses resulted from misrepresentation, unsuitable recommendations, unauthorized trading, or excessive trading (churning), you may have a claim. Most brokerage agreements require disputes to go through FINRA arbitration rather than court, so an attorney experienced in securities arbitration can evaluate your accounts and pursue recovery.
